Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Drive Prep NC mobile application and related services (collectively, the "Service"), operated by IOup LLC ("Company," "we," "us," or "our").

By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Service

Drive Prep NC is a mobile application designed to help users prepare for the North Carolina DMV knowledge test. The Service allows users to:

• Practice with 355 questions based on the official NC Driver's Handbook
• Study questions organized across 11 topic categories
• Simulate the real DMV exam with timed 25-question tests
• Track progress with a readiness score and performance analytics
• Review missed, bookmarked, and learned questions

Drive Prep NC is not affiliated with, endorsed by, or connected to the North Carolina Division of Motor Vehicles (DMV). The Service is an independent educational tool. Questions are for practice purposes only and may not reflect actual exam content. Always refer to the official NC DMV handbook for the most current information.

2. Eligibility

By accessing or using the Service, you represent that:

• You are at least 13 years of age (or the minimum age required in your jurisdiction)
• If you are under the age of 18, you may only use the Service with the consent and supervision of a parent or legal guardian, who agrees to be bound by these Terms
• You agree to comply with these Terms and all applicable laws and regulations

3. Data Responsibility

All data is stored locally on your device. You are responsible for:

• Maintaining the security of your device
• Backing up your data
• All activity that occurs on the Service through your device

We are not responsible for loss of data due to device failure, deletion, or unauthorized access. Uninstalling the Service will permanently delete all your data, including test history and progress.

4. License and Acceptable Use

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Service on a mobile device that you own or control, solely for your personal, non-commercial use.

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code
• Circumvent security or access controls
• Use the Service for unlawful or fraudulent purposes
• Interfere with the Service's operation or other users
• Copy, modify, distribute, or use the Service's name, logo, or branding without permission
• Reproduce or redistribute the question content outside of the Service

Violation may result in suspension or termination of your access.

5. No Professional or Legal Advice

The Service does not provide legal, regulatory, or professional advice. The practice questions and study materials are for educational purposes only.

• The Service is not a substitute for studying the official NC Driver's Handbook
• We do not guarantee that using the Service will result in passing the NC DMV knowledge test
• Question content is based on the NC Driver's Handbook but may not always reflect the most current version or actual exam questions
• Always verify current requirements with the North Carolina DMV

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how your data is handled. All data remains on your device. We do not collect, access, or store any of your personal information. The Privacy Policy is incorporated by reference into these Terms.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF ANY INFORMATION.

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The questions or answers will be accurate or reflect actual DMV exam content
• Any errors in the Service will be corrected

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IOUP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DATA LOSS, ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU (IF ANY) FOR THE SERVICE IN THE PRECEDING 12 MONTHS.

9. Indemnification

You agree to indemnify, defend, and hold harmless IOup LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations

10. Dispute Resolution & Arbitration

Binding Arbitration: Any dispute arising from these Terms or the Service shall be resolved by binding arbitration, not in court, except for claims eligible for small claims court.

Arbitration Rules:

• Arbitration shall be conducted by the American Arbitration Association (AAA)
• Arbitration may be conducted remotely
• Wyoming law applies

Class Action Waiver: You agree that disputes will be resolved only on an individual basis, and you waive the right to participate in class actions or representative proceedings.

11. Intellectual Property

The Service and its original content, features, and functionality are owned by IOup LLC and are protected by international copyright, trademark, and other intellectual property laws.

Practice questions are based on information from the official NC Driver's Handbook. The NC Driver's Handbook content is the property of the North Carolina Division of Motor Vehicles.

12. Termination

We may suspend or terminate your access to the Service at any time, without prior notice, for any reason, including breach of these Terms. You may stop using the Service at any time. Upon termination, your license to use the Service will immediately cease.

13. Modifications to Service or Terms

We reserve the right to modify the Service or these Terms at any time. Material changes will be communicated via:

• In-app notification, where practicable
• Updated posting with a revised "Last Updated" date

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

15. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, outages, or government actions.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and IOup LLC regarding your use of the Service and supersede any prior agreements.
